CALIFORNIA SURPLUS LINES NOTIFICATION IMPORTANT NOTICE:

1. The insurance policy that you (have purchased) (are applying to purchase) is being issued by an insurer that is not licensed by the State of California. These companies are called “nonadmitted” or “surplus line” insurers.

2. The insurer is not subject to the financial solvency regulation and enforcement that apply to California licensed insurers.

3. The insurer does not participate in any of the insurance guarantee funds created by California law. Therefore, these funds will not pay your claims or protect your assets if the insurer becomes insolvent and is unable to make payments as promised.

4. The insurer should be licensed either as a foreign insurer in another state in the United States or as a non- United States (alien) insurer. You should ask questions of your insurance agent, broker, or “surplus line” broker or contact the California Department of Insurance at the toll- free number 1-800-927-4357 or internet website www.insurance.ca.gov. 6. For non-United States (alien) insurers, the insurer should be licensed by a country outside of the United States and should be on the NAIC's International Insurers Department (IID) listing of approved nonadmitted non-United States insurers. Ask your agent, broker, or “surplus line” broker to obtain more information about that insurer.

7. California maintains a “List of Approved Surplus Line Insurers (LASLI).” Ask your agent or broker if the insurer is on that list, or view that list at the internet website of the California Department of Insurance: https://www.insurance.ca.gov/01-consumers/120-company/07-lasli/lasli.cfm.

8. If you, as the applicant, required that the insurance policy you have purchased be effective immediately, either because existing coverage was going to lapse within two business days or because you were required to have coverage within two business days, and you did not receive this disclosure form and a request for your signature until after coverage became effective, you have the right to cancel this policy within five days of receiving this disclosure. If you cancel coverage, the premium will be prorated and any broker’s fee charged for this insurance will be returned to you.

THIS INSURANCE IS NOT AUTO LIABILITY INSURANCE AND DOES NOT SATISFY MOTOR VEHICLE FINANCIAL RESPONSIBILITY REQUIREMENTS IN ANY STATE. IT DOES NOT PROVIDE COVERAGE FOR LOSS OR DAMAGE TO THE VEHICLE ITSELF, FOR DAMAGE TO PROPERTY, OR FOR INJURY TO THE DRIVER, PASSENGERS, OR ANY OTHER PERSON.

Various provisions in this policy restrict coverage. Please read the entire policy carefully to determine rights, duties and what is and is not covered.

Throughout this policy the words ‘you’ and ‘your’ refer to the Named Insured shown in the Declarations and a “transportation provider” who has opted-in to, qualified and paid “premium” for this insurance via the “Uber” app. The words ‘we’, ‘us’ and ‘our’ refer to the company providing this insurance.

Other words and phrases that appear in “quotation marks” have special meaning, which shall include the plural as well as the singular form of such words and phrases. Refer to Section F. DEFINITIONS .

We, the company named in the Declarations, relying upon the statements made and information furnished to us, and in return for the payment of “premium” and subject to the terms, conditions, and limits of insurance of this policy, agree as follows:

SCHEDULE OF BENEFITS

A. INSURING AGREEMENT

Coverage afforded under this insurance only applies to “transportation providers” who opt-in to this insurance via the “Uber app” (members of the “Uber” group). This insurance applies to “Uber” as the first Named Insured, for the benefit of the members of the “Uber” group.

We will pay you the “benefit amount” if your “auto” sustains damage as a direct result of an “accident” which results in you being unable to operate your “auto” for twenty-four (24) consecutive hours or more.

This insurance applies only if the “accident”:

1. Takes place in the “coverage territory”;

2. Occurs after your “coverage effective date”; and

3. Occurs during an “eligible time period”.

You will only be able to make a claim under this policy after you have completed one (1) “trip” using your “auto” after your “coverage effective date”.

We will only pay a maximum of two (2) claims to you every twelve (12) months, regardless of the number of “accidents”.

B. EXCLUSIONS

We will not pay any “benefit amount” under this policy if the damage to your “auto” arises out of, relates to or is caused by:

1. “Acts of nature”.

2. Any “accident” which occurred prior to your completion of one (1) “trip” after your “coverage effective date”.

3. Any “accident” which occurred outside an “eligible time period”.

4. Any “accident” which occurred while any person other than you was driving your “auto”.

5. Any “accident” which occurred outside of the “coverage territory”.

6. Any “accident” which occurred while your coverage was not active.

7. Any “accident” which results in your “auto” only sustaining windshield damage.

8. Fire.

9. Theft of your “auto” if a police report is not filed.

10. Your failure to maintain your “auto” in proper working condition in accordance with the manufacturer’s guidelines, or to ensure your “auto” is roadworthy in accordance with any state requirements.

11. Any “accident” which occurred while your “auto” was being operated in the course of vehicular assault or battery, vehicular homicide or manslaughter, evading law enforcement, fleeing the scene of an accident with an injury, or felonious reckless driving.

12. Any “accident” which occurred while your “auto” was being operated in any prearranged or organized racing, speed or demolition contest, stunting activity, or performance contest.

13. Breakdown of your “auto”, unless such breakdown is directly caused by an “accident”.

14. Any “accident” which results in your “auto” only sustaining cosmetic, non-disabling damage. This includes damage that is limited to scrapes, bends, dents, scratches, cracked fiberglass, or other similar damage that does not interfere with the operation of the “auto”.

15. Any confiscation, removal, detention, immobilization or destruction of your “auto” by any government, public or local authority.

16. Any “accident” which results in your “auto” only sustaining damage which does not interfere with the operation of the “auto” except to render the “auto” unable to meet legal requirements for use on public roads, including but not limited to broken taillights or turn signals.

17. Fraud or deliberate or criminal acts committed by you on anyone else.

18.a. War, including undeclared or civil war;

b. Warlike action by a military force, including action in hindering or defending against an actual or expected attack, by any government, sovereign or other authority using military personnel or other agents; or

c. Insurrection, rebellion, revolution, usurped power, or action taken by governmental authority in hindering or defending against any of these.

19. Riots, strikes or civil commotions.

20. Nuclear reaction, radiation or radioactive contamination.

21. “Terrorism”, including any action taken in controlling, preventing, suppressing or in any way related to any act of “terrorism”.

22. Any of the following:

You:

a. Do not have a valid driver’s license;

b. Are disqualified from holding or obtaining a driver’s license;

c. Are breaking the conditions of your driver’s license by operating your “auto”; or

d. Are operating your “auto” while under the influence of alcohol or drugs, except where the drugs are prescribed by a qualified medical practitioner and are taken in accordance with such prescription and do not have a warning not to operate a vehicle while taking them.

C. POLICY CONDITIONS

1. Single Trip Completion Requirement

You must complete one (1) “trip” after your “coverage effective date” using your “auto” before you can make a claim under this policy.

2. Two Claim Limit Per Twelve (12) Months

We will only pay a maximum of two (2) claims to you (and therefore, a maximum payment of two (2) “benefit amounts”) in a twelve (12) month period. Following payment of the second claim, your coverage under the policy will automatically terminate in accordance with the Claim Limit Termination condition below.

3. Premium

a. The “premium” shall be paid by you based on the number of miles driven during “trips” and is deducted by “Uber” or an “affiliate of Uber” from the earnings that you receive for your “trip”. The amount of “premium” to be deducted for each “trip” will be displayed in the “Uber app” after you have successfully completed a “trip”.

b. “Uber” will remit the “premium” for a calendar month to us in arrears, on or before the 15th of the following month. A grace period of forty-five (45) days will be provided to “Uber” for the payment of any “premium” due. This policy will not be terminated for nonpayment of “premium” during the grace period if “Uber” pays to us all “premium” due by the last day of the grace period.

4. Premium and Coverages Subject to Change

a. We reserve the right to change the rates used to calculate the “premium” with at least sixty (60) days’ notice in writing. Any increase or decrease in rates used to calculate the “premium” will not apply to any “trip” currently in progress, and any changes in the rates to calculate the “premium” will apply as of your next “trip”.

b. For all other terms and conditions of coverage under this policy excluding “premium”, we reserve the right to change any terms and conditions of coverage at any time with sixty (60) days’ prior written notice to you. These changes may be done as needed to reflect conditions that, in our opinion, change the risk or exposure.

c. We or “Uber” will give written notice to you of any changes in the rates used to calculate the “premium” or other terms and conditions of coverage under this policy, and such notice may be given to you via the “Uber app”, email, or other written notice. If you do not accept the change, you may terminate your coverage under the policy in accordance with the Termination provision below. Your continued coverage under the policy constitutes your acceptance of the changes in the rates used to calculate the “premium”, terms and/or conditions of coverage, as applicable.

5. Termination of Services

In the event your access to the “Uber app” is terminated, your coverage under this policy will end immediately.

No further “premium” will be payable from the date of such termination and no “benefit amount” will be payable for any “accident” which occurs after that date.

6. Claim Limit Termination

In the event we pay a second claim for a “benefit amount” under this policy, your coverage under the policy will be considered as having ended on the date on which the second claim is paid. No further “premium” will be payable after that date and no claim will be payable for any “accident” which occurs after that date. You will be unable to re-subscribe to this Vehicle Interruption Coverage within the “Uber app” until one- hundred and eighty days (180) days has elapsed after the date you reached the claims limit. Once at least one-hundred and eighty (180) days has elapsed after the date you reached the claims limit, upon resubscribing to this Vehicle Interruption Coverage, your incurred claims for “accidents” is reset to zero (0) and you are again eligible for a maximum payment of two (2) claims every twelve (12) months.

7. Termination

a. “Uber” may terminate the policy on any “premium” due date by giving us one-hundred twenty (120) days’ advance written notice.

b. We may terminate this policy at any time by giving thirty (30) days’ advance written notice to “Uber”. “Uber” will provide advance notice to you of this policy terminating, and such notice may be provided to you via the “Uber app”, email, or other written notice. Termination of this policy results in termination of your coverage under the policy. This policy terminates automatically on the “premium” due date if the “premium” is not paid when due, subject to the applicable grace period. Termination takes effect at 12:00 a.m. (midnight) at the “Uber” address shown in the Declarations on the date of termination.

c. You may terminate your coverage under this policy by notifying us through the ‘Insurance Hub’ located within the “Uber app”. Termination of your coverage will be effective immediately at the time you give notice to terminate.

d. Any “premium” you have paid will be fully earned and retained by us.

8. Fraud

We do not provide coverage for you or any other person who has made fraudulent statements or engaged in fraudulent conduct in connection with any “accident” for which coverage is sought under this policy.

9. Automatic Continuation

This policy is continuous until terminated. Unless this policy has been terminated, discontinued, or ends early in accordance with the terms and conditions described in this policy, your coverage under this policy will continue automatically and “premium” will continue to be deducted by “Uber” or an “affiliate of Uber” from your earnings based on miles driven during “trips”.

10. Trade or Economic Sanctions

This insurance does not apply to the extent that United States of America economic or trade sanctions, including but not limited to, sanctions administered and enforced by the United States Treasury Department’s Office of Foreign Assets Control (“OFAC”), prohibit us from providing insurance, including, but not limited to, the payment of claims.

11. Group Insurance

Subject to the terms and conditions of this insurance, if you are a “transportation provider” currently eligible to accept requests for “transportation services” through the “Uber app”, then you are a Named Insured, but only:

a. With respect to “transportation services” requested through the “Uber app”, which forms the basis for this group, during the “eligible time period”;

b. For the time period shown in the Certificate of Insurance; and

c. For the “benefit amount” shown in the Certificate of Insurance.

D. HOW TO MAKE A CLAIM

All claims must be submitted via the dedicated Chubb Claims Portal, accessible in the “Uber app” or by calling 1-800-250-7056.

Please follow the instructions to submit your claim. You will receive an e-mail confirmation once your claim has been received.

If you experience any issues when submitting a claim via the Claims Portal, please e-mail us at Uber.ClaimStart@esis.com or call us at 1-800-250-7056.

E. CLAIMS CONDITIONS

1. Claims Duties

a. In the event of an “accident” for which you wish to make a claim under this policy, you must notify us through the Chubb Claims Portal which is available via the “Uber app” as soon as possible, but no later than thirty (30) days from the date of the “accident”.

b. You must not do anything to make the amount of time you are unable to drive your “auto” longer.

c. In the event of an “accident”, you must provide us with a detailed estimate of the damage, completed by a licensed, registered, permitted or otherwise authorized auto body or repair shop before a claim will be paid. If your “auto” is stolen, you must promptly notify the police.

d. You must give us complete details of the “accident” and resulting damage to your “auto”, which may include at our discretion:

(1) How, when and where the “accident” happened, along with details of any third parties involved (if
known);

(2) Photos of the damage to your “auto” submitted through the Chubb Claims Portal via the “Uber app”;
and

(3) Evidence that you have taken your “auto” to a licensed, registered, permitted or otherwise
authorized auto body or repair shop; and

(a) Your “auto” has been determined by such auto body or repair shop to be rendered inoperable
for more than twenty-four (24) hours as a result of the “accident”; or

(b) Your “auto” has been rendered unrepairable or “beyond economic repair” as a result of the
“accident”; or

(c) If your “auto” is “leased” or rented:

(i) You have paid the appropriate fee to the leasing company, and your contract with the
leasing or rental company has terminated or you have been provided with a
replacement by the leasing company; or

(ii) The leasing or rental company has executed an attestation, in a form to be provided
by us, that your “auto” is disabled.

You must provide us this information as soon as possible after submitting a claim. We will not be able
to pay your claim until we receive this information.

e. In the event of a claim, we may require additional information to properly assess the claim and you must fully cooperate with us by providing such additional information as soon as possible. We will maintain final determination of “auto” inoperability based on the evidence and information supplied.

2. Claims Payment

We will pay you within ten (10) days of your claim being approved by us.

F. DEFINITIONS

1. “Accident” means an incident occurring while your coverage under this policy is active which results in direct physical damage to your “auto” that requires repair or renders the “auto” unrepairable or “beyond economic repair”, and which happens suddenly, unexpectedly and unintentionally. “Accident” includes theft of your “auto”, but only if a police report is filed.

2. “Acts of nature” means events or forces outside of human control including but not limited to earthquakes, lightning, tornadoes, wind, hail and other weather-related events or natural phenomena.

3. “Affiliate of Uber” means any one or more of the following affiliates of “Uber”: Rasier LLC, Rasier-CA LLC, Rasier-DC LLC, Rasier - MT, LLC, Rasier-PA LLC, Hinter - NM, LLC, Portier, LLC; Schleuder, LLC; Makler, LLC; and Uber USA, LLC.

4. “Auto” means a four-wheeled private passenger vehicle of the coupe, sedan, station wagon, pick-up truck, van or sport utility type that is (i) owned, “leased”, or rented by you; and (ii) insured under an auto insurance policy that includes you as an “insured”.

5. “Benefit amount” means the amount we will pay under this policy as shown in the Schedule of Benefits.

6. “Beyond economic repair” means where the damage to your “auto” is deemed uneconomical to repair such that the estimated cost of repair exceeds 60% of the “auto’s” value, as determined by us, at the time of the “accident”.

7. “Coverage effective date” means the coverage effective date and time as shown in your Certificate of Insurance.

8. “Coverage territory” means the United States of America.

9. “Delivery Network Company Courier” or “DNC Courier” means an individual who is operating an “auto” to transport goods in connection with the use of the “Uber app” accessed using account credentials issued to that individual under a contract with “Uber”.

10. “Eligible time period” means the period of time:

a. Commencing when the “transportation provider” has logged and recorded acceptance of a request to provide “transportation services” through the “Uber app” and is en route to the first requested pick-up location;

b. Continuing while the “transportation provider” transports such passengers or goods; and

c. Ending at the later of:

(1) When the last passenger departs from the “auto” or the goods have been delivered; or

(2) When the request is cancelled.

11. “For-Hire Driver” means an individual who is operating an “auto” that is a black car, limousine, luxury limousine, livery vehicle, or other for-hire vehicle used to transport passengers in connection with the use of the “Uber app” accessed using account credentials issued to that individual under a contract with Uber USA, LLC. “For-Hire Driver” does not include individuals using taxicabs.

12. “Leased” means your “auto” is in your possession due to a leasing agreement between you and a finance company, including a personal contract hire (PCH) agreement or a personal contract purchase (PCP) agreement.

13. “Premium” means the amount that you pay for this policy, which is calculated and based on the number of miles you drive in “trips” which take place after your “coverage effective date” as reported to us by “Uber”. This means you will pay more “premium” as you drive more miles using the “Uber app”.

14. “Terrorism” means an act, including but not limited to the use of force or violence and/or the threat thereof, of any person or group(s) of persons, whether acting alone or on behalf of or in connection with any organization(s) or government(s), committed for political, religious, ideological or similar purposes including the intention to influence any government and/or to put the public or any section of the public in fear.

15. “Transportation Network Company Driver” or “TNC Driver” means an individual who is operating an “auto” that is a personal vehicle to transport passengers in connection with the use of the “Uber app” accessed using account credentials issued to that individual under a contract with “Uber”.

16. “Transportation provider” means a “DNC Courier”, “For-Hire Driver”, or “TNC Driver”. “Transportation provider” does not include any individual: (i) operating an “auto” in their course of their employment with an entity contracted with “Uber”; or (ii) operating an “auto” in the course of their work as an independent contractor of an entity contracted with “Uber”.

17. “Transportation services” means transportation of goods or passengers.

18. “Trip” means that part of the “eligible time period” beginning when goods have entered the “auto” of a “DNC Courier”, or a passenger has entered the “auto” of a “TNC Driver” or “For-Hire Driver” is transporting passengers, and ending at the later of:

a. When the last passenger departs from the “auto” or the goods have been delivered; or

b. When the request is cancelled.

19. “Uber” means Uber Technologies, Inc..

20. “Uber app” means any smartphone application licensed by an affiliate of “Uber” which is utilized by: (i) a “DNC Courier” to receive requests for the transportation of goods; or (ii) a "TNC Driver" or “For-Hire Driver” to receive requests for transportation from passengers.

The person named above is authorized and directed to accept service of process on the company's behalf in any action, suit or proceeding instituted against the company. If the insured requests, the company will give the insured a written promise that a general appearance will be entered on the company's behalf if a suit is brought.

If the insured requests, the company will submit to the jurisdiction of any court of competent jurisdiction. The company will accept the final decision of that court or any Appellate Court in the event of an appeal. However, nothing in this endorsement constitutes a waiver of the company’s right to: remove an action to a United States District Court, seek a transfer of a case to another court, or to enforce policy provisions governing choice of law or venue selection, as may be permitted by the laws of the United States, or of any state in the United States.

The law of some jurisdictions of the United States of America requires that the Superintendent, Commissioner or Director of Insurance (or their successor in office) be designated as the company's agent for service of process. In these jurisdictions, the company designates the Director of Insurance as the company's true and lawful attorney upon whom service of process on the company's behalf may be made. The company also authorizes the Director of Insurance to mail process received on the company's behalf to the company person named above.

If the insured is a resident of Canada, the insured may also serve suit upon the company by serving the government official designated by the law of the insured's province.
